These Terms of Service govern your access to and use of Adaya AI Lab, its websites, products, agents, models, and application programming interfaces (together, the "Services"). By using the Services you agree to these terms. If you do not agree, do not use the Services.
01Who we are
Adaya AI Lab ("Adaya", "we", "us") is an AI-native studio that invents and operates its own products end to end, including the generative models, autonomous agents, identity, and software behind them. These terms apply across every Adaya product unless a specific product presents its own supplemental terms.
02Eligibility and accounts
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Services. When you create an account you are responsible for the accuracy of your information, for keeping your credentials secure, and for all activity that occurs under your account. Notify us promptly of any unauthorized use.
03Acceptable use
You agree not to use the Services to:
- break any law, regulation, or third-party right, including intellectual property and privacy rights;
- generate or distribute content that is unlawful, deceptive, harassing, hateful, or that impersonates a person or brand without authorization;
- attempt to reverse engineer, scrape, or extract our models, weights, or training data, or to build a competing model from our outputs;
- circumvent rate limits, security controls, or usage restrictions, or introduce malware or automated abuse;
- submit content you do not have the rights to provide.
04Your content
You retain ownership of the content, prompts, brand assets, and data you provide ("Customer Content"). You grant Adaya a limited, worldwide, non-exclusive license to host, process, and transmit Customer Content solely to operate and improve the Services for you. We do not use your private Customer Content to train foundation models offered to other customers without your explicit consent.
05AI output
Subject to these terms and your compliance with them, you own the output generated for you through the Services ("Output") to the extent permitted by law. Because AI systems are probabilistic, Output may be inaccurate, may resemble output produced for others, and may not be unique. You are responsible for reviewing Output before relying on it or publishing it, and for ensuring it is lawful and appropriate for your use.
06Intellectual property
The Services, including our models, software, designs, and trademarks, are owned by Adaya and protected by intellectual property laws. Except for the rights expressly granted here, we reserve all rights. You may not use our marks without prior written permission.
07Third-party services
The Services may connect to third-party platforms and tools. Your use of those services is governed by their own terms, and we are not responsible for third-party content or practices.
08Fees
Paid plans, where offered, are billed as described at purchase. Fees are non-refundable except where required by law. We may change pricing on prospective notice.
09Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that Output will be accurate, complete, or suitable for any purpose.
10Limitation of liability
To the maximum extent permitted by law, Adaya will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill. Our total liability for any claim arising out of the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred US dollars.
11Indemnification
You agree to indemnify and hold Adaya harmless from claims, damages, and expenses arising out of your Customer Content, your use of Output, or your breach of these terms or of applicable law.
12Termination
You may stop using the Services at any time. We may suspend or terminate access if you breach these terms or if we must do so to protect the Services or comply with law. Provisions that by their nature should survive termination will survive.
13Changes
We may update these terms from time to time. When we make material changes we will update the date above and, where appropriate, provide additional notice. Continued use of the Services after changes take effect constitutes acceptance.
14Governing law
These terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The exclusive venue for disputes will be the state and federal courts located in Los Angeles County, California.
